Real Estate Due Diligence

We carry out comprehensive Real Estate Due Diligence processes aimed at identifying legal risks, validating property rights, verifying encumbrances and restrictions, and reviewing applicable urban planning and building parameters. Our objective is to provide the client with a clear and complete overview of the property of interest, enabling informed decision-making regarding project development.

We determine the registry entries and the municipal and cadastral documents linked to the property, as well as any ongoing arbitral or judicial proceedings related to it. We gather all relevant documents from the corresponding authorities so that the client has full access to the documentary situation of the property.

We evaluate the legal soundness of the property rights. We review the chain of title and rule out the existence of defects that could invalidate ownership or affect the client’s interests. This analysis is crucial to prevent potential ownership disputes and, if any arise, to allow the client to understand the risks and strengths in advance.

We thoroughly analyze the archived titles at the Public Registry related to the property, in order to provide an accurate diagnosis of its legal status and identify any potential burdens, encumbrances, or defects affecting title.

We review national and municipal regulations—both at provincial and district levels—related to urban planning parameters, building heights, zoning classifications, and road impact restrictions applicable to the property. We also address matters related to Cultural Heritage protections or special protection areas (protected natural zones and buffer zones). We verify the compatibility of these regulations with the client’s objectives to confirm whether the intended real estate project complies with applicable limitations. We identify possible legal contingencies associated with urban development or building permits.

We assist clients in preparing topographic surveys and obtaining cadastral search certificates, as well as any other physical–legal regularization procedures required. This service aims to evaluate and rule out any potential boundary overlaps with third parties. If overlaps are found, we assess their actual scope and the likelihood of success in any potential judicial or arbitral claims.

We design comprehensive legal strategies to prevent or mitigate the legal risks identified in the property. Our practice allows us to determine the most efficient and appropriate approach to address the detected risks, always prioritizing swift and effective solutions and minimizing litigation.

Structuring of Real Estate Transactions

We have extensive experience in the creation of real estate companies and the drafting of real estate contracts or agreements that impact property rights, including but not limited to preliminary agreements (purchase options or commitments to contract), purchase and sale agreements, lease agreements, usufructs, surface rights, consortium agreements, joint ventures, construction contracts, subcontractor agreements, and others.

We diagnose the real estate project the client intends to undertake and identify the corporate or contractual structure best suited to their interests. This includes determining whether to use a Closely Held Corporation (S.A.C.), a Limited Liability Company (S.R.L.), a Nonprofit Civil Association, or another structure. We also evaluate contractual frameworks that do not require the creation of legal entities, as well as vehicles for channeling institutional or private investments into real estate projects.

We manage the entire incorporation process for the real estate company. This service includes drafting the incorporation deed, reserving the company name, making the initial capital deposit, formalizing the deed before a notary public, registering the company, obtaining the Taxpayer Identification Number (R.U.C.), and certifying corporate books (general shareholders’ meeting minutes book, share ledger, and board of directors minutes book, if applicable).

We prepare valid and enforceable shareholders’ agreements between the client and their partners, and between them and the company. We pay special attention to the interests of the client and their partners to ensure that their intentions are accurately reflected in the documents and that they support the successful operation of the real estate venture.

Our firm assists in the negotiation and drafting of civil and commercial contracts of all types. We design strong contractual instruments that prioritize and protect the interests of our clients. Whether it is a real estate purchase agreement, a lease, the acquisition of shares in a real estate or mining company, or any other legal operation, we ensure the identification and mitigation of legal risks for the client’s benefit and peace of mind.

Legal Advisory on Urban Development and Building Projects

We provide legal support throughout the entire construction process, from the planning and initial procedures (feasibility studies and traffic impact assessments), to the obtaining of urban development and building permits in their different modalities, and finally to obtaining certifications such as work completion, conformity of work, and the declaration of factory.

We assist clients in regularization procedures before municipal, registry, or judicial authorities, defining the strategy based on the specific characteristics of each case, whether related to urban development or building matters, mitigating risks of fines or additional measures when applicable. The objective is the legal regularization of the real estate asset.

We design and execute comprehensive strategies for the obtainment of municipal licenses and authorizations, in all modalities, whether for real estate, commercial, industrial, or special-use projects, as well as for individual procedures or specific administrative actions.

We advise clients in administrative and sanctioning procedures, representing them from inspection stages through the conclusion of the process. We actively support inspections that could result in the closure of the property, using all available legal tools to prevent the inappropriate application of municipal regulations and unjustified sanctions or closures. Our intervention ensures due process and the reasonableness of municipal measures.

We manage registry procedures related to our services, including the resolution and lifting of registry observations in matters of regularization, building, urban development, real estate contracts, and all actions related to our practice area. We also represent clients before the Registry Tribunal.

Operation of Real Estate Assets

We assist clients throughout the process of obtaining the Technical Safety Inspection Certificate (ITSE). Our service includes preparing the administrative file, submitting the initial request, and accompanying all municipal inspections required to resolve observations. We also provide immediate legal assistance during Safety Inspection Visits (VISE). We offer technical–legal support in cases of unjustified observations that could jeopardize the issuance or validity of the certificate.

We assess clients’ strategic assets and their compatibility with applicable zoning, defining permitted uses or parameters for the viability of specific activities and outlining strategies that allow the start or continuation of operations. From this perspective, we evaluate the granting of operating permits and design defense strategies for already granted permits.

We provide ongoing legal advice on municipal restrictions applicable to the operation of commercial establishments. This includes handling disputes or inquiries related to outdoor advertising, operating hours, capacity limits, parking requirements, and other relevant urban planning factors.

Real Estate Tax Advisory

We advise on municipal taxation, with special focus on Property Tax and Municipal Service Fees, including the audits or procedures that arise from such taxes. We verify whether municipal assessments comply with applicable regulations to anticipate tax contingencies, recover undue payments, or support a solid legal defense.

We assist clients during property tax audits scheduled for their real estate portfolios, attending all inspections necessary to assess construction characteristics and building components, ensuring accurate cadastral updates and proper declarations before the Tax Authority, avoiding both overpayments and underpayments.
